Nexacos Private Limited provides software development, IT consulting, cloud solutions, and digital transformation services. The specific scope, deliverables, and terms for each service engagement will be defined in separate service agreements or statements of work.

By using our services, you represent and warrant that:

• You have the legal capacity to enter into these Terms
• You will not use our services for any illegal or unauthorized purpose
• Your use of the services will not violate any applicable law or regulation
• All information you provide is accurate, current, and complete

You may not access or use the services for any purpose other than that for which we make them available. Prohibited activities include, but are not limited to:

• Systematically retrieve data or content to create a collection or database
• Make unauthorized use of the services
• Use the services to advertise or offer to sell goods and services
• Circumvent, disable, or interfere with security-related features
• Engage in unauthorized framing of or linking to the website
• Interfere with, disrupt, or create an undue burden on the services or networks
• Attempt to impersonate another user or person
• Use any information obtained from the services to harass, abuse, or harm another person

Specific services provided by Nexacos will be governed by separate service agreements or statements of work. These agreements will detail the scope of work, deliverables, timelines, payment terms, and other specific terms applicable to the engagement.

Payment terms will be specified in individual service agreements. Generally:

• Invoices are payable within 30 days unless otherwise specified
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend services for non-payment
• All fees are exclusive of taxes, which are the client's responsibility

We warrant that services will be performed in a professional and workmanlike manner. However, except as expressly provided in a service agreement, our services are provided "as is" and "as available" without warranties of any kind, either express or implied.

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

You agree to defend, indemnify, and hold us harmless from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the services.

These Terms remain in effect while you use our services. We reserve the right to terminate or suspend access to our services immediately, without prior notice, for any reason, including breach of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nexacos Private Limited is registered, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration or litigation as specified in service agreements.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after changes become effective constitutes acceptance of the revised Terms.
